This is tough. It's tough for an entrepreneur to think that anything less then the best is good for his baby. And it's hard (for a non-lawyer) to not think size = quality. I would be tempted, by default, to feel the same about IB and accounting firms too.

Since I had no references, I went with the smallest firm I could find that still had a dedicated VC or Emerging Company practice that had (minimum) two attorneys dedicated to just that. Thus far I've been pleased with the attention they've given me and the absence of snobbery.

Interestingly, it was the latter I was most afraid of receiving, not lack of the former. I was scared to death of them treating me like a 12 year old imbecile due to this being my first funding effort.

This was an awesome post. Great structure.
