		<description>Great tips for founders and angels alike.  Too often the deal is not thought through and the parties fail to plan for all of the possible outcomes.  Doing the due diligence and structuring the deal are of utmost importance.  In fact, it would be fair to say that even if an entrepreneur is desperate for money, they should walk away from preferred share deals with angels as well as any that require heavy-handed terms!</description>
